1. Acceptance of Terms

By accessing, browsing, or using this Site, or by purchasing any product or service offered through this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, together with our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

You represent that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms constitute the entire agreement between you and AMJID Solution LLC regarding the use of the Site and supersede all prior agreements, understandings, and representations, whether oral or written. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting on the Site.

2. Description of Services

AMJID Solution LLC provides full-stack software development services, AI automation solutions, and a digital marketplace for pre-built software products and tools. Our services include, but are not limited to:

• Custom Software Development: Web applications, mobile applications (iOS and Android), desktop applications, and enterprise solutions tailored to client specifications.
• AI and Automation Services: AI-powered tool development, workflow automation, machine learning solutions, and intelligent process optimization.
• Marketplace Products: Pre-built software components, templates, plugins, tools, and digital assets available for purchase and download.
• Consulting and Advisory: Technical consulting, architecture planning, code review, and strategic technology advisory services.
• Ongoing Support: Maintenance, updates, bug fixes, and technical support for delivered projects and products, as specified in individual service agreements.

We reserve the right to modify, suspend, or discontinue any service or feature of the Site at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of any service.

3. Intellectual Property Rights

All content, design, graphics, code, documentation, and other materials on this Site are the property of AMJID Solution LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

Our Intellectual Property

• The AMJID Solution name, logo, and all related branding elements are trademarks of AMJID Solution LLC. You may not use our trademarks without prior written consent.
• All source code, frameworks, methodologies, algorithms, and proprietary tools developed by us remain our intellectual property unless explicitly transferred in a written agreement.
• Website content, including text, images, graphics, and multimedia, is owned by or licensed to us and may not be reproduced, distributed, or modified without express permission.

Client Work Product

• Ownership of custom development work product is governed by the individual project agreement or statement of work executed between the parties.
• Unless otherwise specified in the project agreement, upon full payment, clients receive a perpetual, non-exclusive license to use the delivered work product for its intended purpose.
• We retain the right to use generalized knowledge, skills, experience, and techniques gained during a project, provided that no client-confidential information is disclosed.

Marketplace Products

• Purchases from our marketplace grant a single-user, non-transferable license to use the product as specified in the product description.
• Redistribution, resale, sublicensing, or republication of marketplace products is strictly prohibited unless explicitly authorized in writing.
• Source code access and modification rights vary by product and are clearly stated in each product's licensing terms.

4. User Accounts

Certain features of the Site may require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials and not share your account with others.
• Accept responsibility for all activities that occur under your account and immediately notify us of any unauthorized use.
• Not use another user's account without that user's prior express permission.

We reserve the right to suspend or terminate your account at our sole discretion if we reasonably believe that your account information is inaccurate, that you have violated these Terms, or that your account activity poses a security risk. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

5. Software Licensing

Any software, code, or digital products provided through our Site or services are licensed, not sold, to you. The terms of each license are as follows:

• Standard License: Permits use by a single individual or within a single organization for internal business purposes. Modification for internal use may be permitted depending on the specific product terms.
• Extended License: Permits broader usage rights as specified at the time of purchase, which may include use across multiple projects or by multiple team members within the purchasing organization.
• Enterprise License: Custom licensing arrangements negotiated on a case-by-case basis for large organizations with specific requirements.

All licenses are non-exclusive and non-transferable unless expressly stated otherwise. You may not sublicense, lease, rent, or distribute software or products obtained through our Site or services. Any license grants are subject to full payment of applicable fees.

6. Project Delivery and Acceptance

For custom development projects, the following terms govern delivery and acceptance:

• Project Scope: The scope of work, deliverables, timelines, and acceptance criteria are defined in the applicable Statement of Work (SOW) or project agreement.
• Milestones: Projects may be delivered in phases or milestones. Each milestone will be reviewed and accepted by the client within the timeframe specified in the project agreement.
• Acceptance Testing: Upon delivery, the client shall have a defined acceptance testing period (typically 7-14 business days) to review deliverables and provide written approval or detailed feedback regarding any non-conformances.
• Revisions: Reasonable revisions within the defined scope are included. Changes to scope, features, or specifications beyond the original agreement may result in change orders with associated additional costs and timeline adjustments.
• Deemed Acceptance: If the client does not provide feedback or rejection within the specified acceptance period, the deliverable shall be deemed accepted.

7. Payment Terms

All fees and payment terms are as specified in the applicable invoice, project agreement, or product listing. The following general terms apply:

• Invoicing: We will issue invoices according to the payment schedule outlined in the project agreement. Invoices are payable within 15 days of the invoice date unless otherwise specified.
• Payment Methods: We accept payment via credit card, bank transfer, and other methods as indicated during the checkout process or on the invoice.
• Late Payments: Overdue invoices will accrue interest at a rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is less) on the outstanding balance from the due date until paid in full.
• Disputed Invoices: If you dispute any portion of an invoice, you must notify us in writing within 10 days of receipt, specifying in detail the basis for the dispute. You must pay the undisputed portion by the due date.
• Taxes: All fees are exclusive of applicable taxes. You are responsible for any sales tax, value-added tax, goods and services tax, or other taxes applicable to your purchase, excluding taxes based on our net income.
• Refunds: Refund requests are handled in accordance with our Refund Policy.

8. Custom Development

For custom software development engagements, additional terms apply:

• Statement of Work: All custom development projects are governed by a separately executed Statement of Work (SOW) or project agreement that specifies scope, deliverables, timelines, and pricing.
• Client Responsibilities: The client is responsible for providing timely access to necessary information, resources, feedback, and approvals to enable project progress. Delays caused by client non-responsiveness may affect project timelines.
• Change Management: Changes to project scope must be submitted as formal change requests. We will evaluate the impact on timeline and cost and provide a change order for client approval before proceeding.
• Third-Party Components: Projects may incorporate third-party libraries, frameworks, or services with their own licenses. We will disclose such dependencies and ensure compliance with applicable licensing terms.
• Warranty: We provide a 30-day warranty period following final project acceptance to address defects in workmanship. This warranty does not cover issues arising from unauthorized modifications, misuse, or changes in the client's technical environment.

9. Marketplace Purchases

The following terms govern all purchases made through our marketplace:

• Product Descriptions: We strive to provide accurate descriptions, screenshots, and demos for all marketplace products. However, products are provided "as is" and "as available" based on the descriptions provided at the time of listing.
• Download and Access: Upon successful payment, you will receive immediate access to download your purchased product. Download links and access instructions are sent to the email address associated with your account.
• Compatibility: It is your responsibility to review product requirements and ensure compatibility with your technical environment before purchasing.
• Updates: Product updates may be provided at our discretion. Some updates may be included with your purchase at no additional cost, while significant version upgrades may require a separate purchase.
• Support: Basic support for marketplace purchases is provided via email for a period of 90 days from the date of purchase. Extended support may be available as a separate purchase.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• IN NO EVENT SHALL AMJID SOLUTION LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, SERVICES, OR PRODUCTS.
• IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR OUR SERVICES EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless AMJID Solution LLC, its members, managers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Site, services, or products in violation of these Terms.
• Your violation of any applicable law, regulation, or third-party right.
• Any content or materials you submit, post, or transmit through the Site.
• Your negligent or willful misconduct.
• Any dispute between you and a third party, including other users of the Site.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

12. Termination

We may terminate or suspend your access to the Site and services at any time, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

• Your right to access and use the Site will immediately cease.
• Any outstanding payment obligations will survive termination and remain due and payable.
• Licenses granted to you for any purchased products or services will remain in effect according to their terms, unless the termination was due to a license violation.
• We may retain your data as necessary to comply with legal obligations, resolve disputes, and enforce our agreements.

You may terminate your account at any time by contacting us. Termination of your account does not relieve you of any obligation to pay outstanding fees or amounts due.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming.

14. Dispute Resolution

We encourage you to contact us first to resolve any dispute informally. Most concerns can be resolved through direct communication. Please reach out to us at contact@amjid-solution.com with details of your concern.

If informal resolution is unsuccessful, the parties agree to attempt to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Sheridan, Wyoming, or at a location mutually agreed upon by the parties.

Each party shall bear its own costs and attorneys' fees in connection with the arbitration, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

NOTWITHSTANDING THE ABOVE, EITHER PARTY MAY SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PREVENT THE ACTUAL OR THREATENED INFRINGEMENT, MISAPPROPRIATION, OR VIOLATION OF INTELLECTUAL PROPERTY RIGHTS.

15. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time at our sole discretion. Changes will be effective immediately upon posting to this page, with the "Last Updated" date at the top revised accordingly.

Material changes will be communicated via email to registered users or by posting a prominent notice on our Site at least 30 days before the changes take effect. Your continued use of the Site after the effective date of any modifications constitutes your acceptance of the updated Terms.
